    How to Close an ABN When Your Business Stops Trading

    Most people in Australia think closing a business means the Australian Business Number (ABN) disappears on its own. Well, that’s partially correct, because the ATO (Australian Taxation Office) can cancel an inactive business number without notice. However, ABN cancellation is mandatory only when a business permanently stops trading or changes its structure.

    When Do You Actually Need to Cancel Your ABN?

    You need to cancel your ABN when your business permanently stops trading, not before and not after.

    Many sole traders assume that a quiet period means it’s time to cancel. That isn’t the case. If you’ve paused business activities with a genuine plan to restart, you aren’t required to cancel your registration. You’re still expected to update your ABN details within 28 days of any changes and lodge your activity statements as nil if there’s nothing to report.

    Permanently closed is a different story, though. Once an entity ceases trading, the obligation to cancel your registration kicks in straight away. Sitting on an active ABN when you’re no longer operating can lead to compliance issues down the track. 

    And the ATO won’t always wait for you to act. In some cases, they’ll cancel it without warning if they spot signs of inactivity or irregular reporting.

    For example, a sole trader who sold their last stock, terminated their lease, and stopped making supplies connected with Australia would need to cancel their ABN promptly. Delaying it doesn’t make the obligation go away, and it creates unnecessary admin plus potential headaches with government agencies later on.

    How to Close Your ABN: The Steps Through ATO Online Services

    The full cancellation process takes under ten minutes when you know the steps. You can do it yourself online, or hand it to a registered tax agent to lodge on your behalf.

    Now, we’ll dive into each step of the process so you know exactly what to expect.

    First Step: Logging Into ABN Online or ATO Online Services

    Log in via abr.gov.au or through ATO Online Services using your myGovID or Digital ID. Make sure your ABN details are current before you log in, because outdated information can slow the process down or prompt a follow-up from the ATO.

    If you’re using a registered tax agent, they can access your account on your behalf and lodge the cancellation request for you. This is worth considering if your business had multiple tax registrations or if you’re unsure about any of the obligations tied to your ABN.

    Filling Out the ABN Cancellation Form

    Several fields need your utmost attention, because we’ve seen that business owners often overlook them here. The ones you should double-check are:

    • Cancellation date
    • Reason for closure
    • Linked registrations (GST, PAYG withholding, luxury car tax, wine equalisation tax, fuel tax credits)
    • NAT number

    When it comes to linked registrations, cancelling them inside the same form is far more efficient than lodging separate requests later. For instance, if your business was registered for GST (Goods and Services Tax) and PAYG (Pay As You Go) withholding, both of those need to be cancelled alongside your ABN.

    Leaving them active after your registration is gone can create reporting obligations you’re no longer aware of. That’s where unexpected penalties tend to come from.

    Submitting and Processing Your ABN Cancel Request

    The ATO requires you to cancel your ABN within 28 days of permanently stopping business activities. Delays usually happen when linked registrations haven’t been sorted first, so clear those before you submit.

    Once processed, you’ll get written confirmation from the ATO, and the cancellation will show on the Australian Business Register publicly.

    Your Final BAS and Other Tax Obligations Before You Close

    Cancelling your ABN without lodging your final BAS first is one of the most common closure mistakes sole traders make. In fact, your reporting and payment obligations don’t disappear the moment you decide to close. The ATO expects all activity statements lodged and outstanding tax debts cleared before your cancellation gets processed.

    Here’s what to sort out before you cancel your ABN:

    • Final BAS: Lodge your final BAS covering all business activity up to your last trading date. For businesses registered for GST, include your final GST amount owing or refundable.
    • PAYG Withholding: Businesses that employed staff need to finalise all PAYG withholding reports and make sure workers receive their payment summaries before closing.
    • Superannuation: Clear any outstanding super guarantee amounts owed to employees before closing. Unpaid super attracts the super guarantee charge, which adds interest and admin fees on top.
    • Outstanding Tax Debts: Any unpaid tax debts need to be settled or a payment plan arranged with the ATO before your cancellation goes through.
    • Other Registrations: Cancel GST, luxury car tax (LCT), wine equalisation tax (WET), and fuel tax credits separately if they weren’t handled inside the ABN cancellation form.

    When you wrap these up in the right order, you can walk away from your business cleanly, without chasing correspondence from government agencies or dealing with unexpected penalties after the fact.

    Does Cancelling an ABN Affect Your Business Structure?

    When you cancel your ABN, your company registration with ASIC (Australian Securities and Investments Commission) and your business name stay active separately.

    This separation catches a lot of people off guard. Cancelling the registration is an ATO process, and it has no bearing on what ASIC holds on record. So if you ran your business as a company, you’d still need to deregister with ASIC as a completely separate step.

    For sole traders, things are simpler. Once you cancel your ABN, you’ve effectively ceased trading with no further ASIC steps needed. There’s no company structure sitting behind the number, so the cancellation wraps things up on both fronts at once.

    A company owner, on the other hand, would still have an active ASIC registration to deal with after cancelling their ABN. Annual review fees keep accumulating until deregistration is finalised. And if you’re moving into a new structure rather than closing altogether, a fresh ABN is required for the incoming business structure in Australia.

    What Happens After Your Australian Business Number Is Cancelled?

    Once cancelled, you’re free of ABN obligations, but a few post-cancellation responsibilities still apply.

    Your ABN becomes inactive in the Australian Business Register straight away. From that point, it’s no longer valid for invoicing or quoting, and anyone can verify your cancellation status through the ABR’s public ABN lookup tool. Keep the following in mind after your registration is cancelled:

    • ABN Status Goes Public: Your cancelled ABN remains visible on the Australian Business Register, so suppliers and clients can confirm you’re no longer operating.
    • Record Keeping Still Applies: You must hold onto your business records for five to seven years after cancellation. Holding onto your business records protects you if the ATO ever reviews your past activity or lodgments.
    • Invoicing Stops Immediately: From the cancellation date, you can’t issue tax invoices or quote your ABN on any documents. Doing so after cancellation creates compliance issues.

    Even though your business is closed, a clean paper trail is worth holding onto. When you keep your records in good order, you can respond to any ATO queries down the track without any stress.

    Don’t Close the Door Without Reading This First

    Now that you’ve got the full picture, cancelling your ABN doesn’t have to feel like an ordeal. The process itself is simple once your obligations are wrapped up and your records are in order.

    Before you submit anything, sort out your BAS, clear your outstanding tax debts, and confirm your business structure situation. If any of it feels unclear, a registered BAS agent or tax agent can walk you through it and help you cancel your ABN correctly.
